These Terms of Service ("Terms") are a contract between you and Netonic ("Netonic", "Billebly", "we", "us") (our registered office address and company registration details are available on request: email support@billebly.com). They cover this website (billebly.com) and the Billebly application at app.billebly.com and any subdomain (together, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Data Processing Agreement, and our Acceptable Use Policy, all of which are incorporated into these Terms by reference. If you don't agree, don't use the Service.
1. Who these Terms are for
Billebly is built for freelancers, coaches, consultants, and similar independent businesses ("you", "merchant") who invoice their own clients and collect payment through the Service. Your clients never create a Billebly account. They only ever see a single invoice through a payment link. These Terms govern your use of the Service as a merchant. If you're a client who received a payment link and have a question about a specific invoice, contact the business that sent it to you directly. Billebly isn't a party to that transaction.
2. What Billebly is (and isn't)
Billebly is software: it lets you manage clients, track time, build invoices, and collect payment. Billebly is not a bank, electronic money institution, or payment service provider, and never takes custody of your funds or your clients' funds. Payments are processed by Stripe, Inc. and its affiliates ("Stripe") under Stripe's own agreements. When you connect a Stripe account through Billebly, you separately accept Stripe's Connected Account Agreement and are bound by it directly with Stripe, regardless of anything in these Terms. Money from your invoices moves directly from your client to your own Stripe-connected account and is paid out to you on Stripe's own schedule. Billebly is never in the payment chain and cannot access, hold, or move your balance.
3. Your account
- The Service is for business use. You must be able to form a legally binding contract, and the information you give us and Stripe must be accurate and kept up to date.
- One account per business. You're responsible for everything that happens under your account, and for keeping your login credentials and two-factor recovery codes secure.
- Connecting payments requires completing Stripe's identity verification (KYC) for your connected account. Stripe, not Billebly, decides whether to approve, restrict, or close a connected account, and we have no control over, and aren't liable for, that decision.
4. Your responsibilities as a merchant
This is the part that matters most given how Stripe Connect works, so we're stating it plainly:
- You are solely responsible for the goods and/or services you invoice for, your relationship with your own clients, and all legal, tax (including VAT), and regulatory obligations related to your business. Billebly is not a party to your relationship with your clients and has no visibility or control over it.
- You must not use Billebly for any business on Stripe's Prohibited & Restricted Businesses List or our own Acceptable Use Policy.
- Disputes, chargebacks, and refunds are your risk, not ours. Depending on how your Stripe-connected account is set up, a disputed payment or a refund you issue is deducted directly from your own Stripe balance. Billebly doesn't reimburse chargebacks, disputes, or refunds, and isn't liable for a client's failure to pay, a dispute outcome, or any decision Stripe makes about your account, funds, or payouts.
- You're responsible for the accuracy of every invoice, client record, and payment detail you enter. Billebly doesn't verify amounts, tax rates, or client identities on your behalf.
5. Fees
- We charge a platform fee (by default 0.5% of each successful payment processed through the Service), shown in your account and occasionally adjusted for a specific account. This is separate from Stripe's own processing fee, which Stripe sets and which you ultimately always bear. We can't waive or reimburse Stripe's own fee.
- You choose whether our platform fee is deducted from your payout or passed on to your client as a separate, visible line at checkout.
- Our referral program (described in-app) can grant fee-free payment volume. It's discretionary and its terms may change for volume granted going forward, but fee-free volume you've already earned stays honored.
- We'll give reasonable notice (by email or in-app) before increasing the platform fee that applies to your account.
6. Acceptable use
Full details are in our Acceptable Use Policy. In short: don't use Billebly for anything illegal, fraudulent, or on Stripe's restricted-businesses list, and don't misuse the Service to harm us, Stripe, or anyone else. We can suspend or close your account, remove content, or refuse service if we reasonably believe you're violating these Terms, Stripe's own policies, or the law. If Stripe restricts or terminates your connected account directly, your ability to accept payments through Billebly ends too, since we don't operate payments independently of Stripe.
7. Your data and your clients' data
Our Privacy Policy explains what we collect and why. In short: for personal data you submit about your own clients (their name, email, address, invoice details), you are the data controller and we process it on your behalf as your processor, under the terms of our Data Processing Agreement, which forms part of these Terms.
8. Intellectual property
We own all rights to the Billebly software, brand, and site content. You own all rights to your own business content and the client data you enter. You grant us only the license we need to host, process, and display it back to you, and, via your payment links, to your clients, in order to provide the Service.
9. Termination
You can stop using the Service and delete your account at any time from Settings. This schedules permanent deletion after a 30-day grace period, cancellable by logging back in. We can suspend or terminate your account for breach of these Terms, at Stripe's direction, for unpaid fees owed to us, or if required by law. We'll try to give notice first unless doing so isn't safe or lawful (e.g. suspected fraud, a legal order). Termination doesn't cancel obligations already due, such as platform fees on payments already processed, and doesn't affect Stripe's own relationship with your connected account.
10. Service availability & warranty disclaimer
We work to keep the Service reliable, but it's provided "as is" and "as available," without warranty of any kind, and we don't guarantee any specific uptime. We aren't liable for outages or interruptions caused by Stripe or any other third-party service outside our control.
11. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or related to the Service is limited to the platform fees you paid us in the 12 months before the claim. We aren't liable for indirect, incidental, or consequential damages, or for lost profits or data. Nothing here excludes liability that can't be excluded under Dutch law, such as for our own gross negligence, intentional misconduct, or death or personal injury. We are not liable for Stripe's acts or omissions, for a dispute between you and your client, or for your own tax or legal compliance.
12. Indemnification
You agree to indemnify and hold Billebly harmless against claims, losses, and expenses arising from the goods or services you sell, your breach of these Terms or Stripe's own policies, or your violation of any law.
13. Changes to these Terms
We may update these Terms from time to time. For a material change, we'll give notice (by email or in-app) before it takes effect. Continuing to use the Service after that means you accept the updated Terms; if you don't agree, please stop using the Service and close your account.
14. Governing law & disputes
These Terms are governed by the laws of the Netherlands. Any dispute will be brought before the competent court in the Netherlands, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country, where applicable.
15. Miscellaneous
If any part of these Terms is found unenforceable, the rest still stands. These Terms, together with our Privacy Policy, Data Processing Agreement, and Acceptable Use Policy, are the entire agreement between us on this subject. Not enforcing a provision once doesn't waive our right to enforce it later. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Neither of us is liable for delay or failure caused by circumstances reasonably beyond our control.
